These Terms and Conditions govern the relationship between “Gems and Goods” Ltd, UIC 206024106, VAT number BG206024106, with registered seat and address of management at: Republic of Bulgaria, Sofia 1404, Triaditsa District, Flora 1, entrance B, apartment 18, hereinafter referred to as “AllCourt EU”, “we”, “us”, “our” or “the Merchant”, and the persons using the website AllCourtEU.com, hereinafter referred to as “Customer”, “Consumer” or “you”.

AllCourt EU operates an online store for tennis, padel and related sports products through the website AllCourtEU.com. The website is hosted and technically supported through the Shopify platform.

By accessing the website, browsing products, placing an order or using any functionality of the website, you confirm that you have read these Terms and Conditions.

If you do not agree with these Terms and Conditions, please do not use the website and do not place orders through it.

2. Scope of the Terms and Conditions

These Terms and Conditions govern:

access to and use of the website AllCourtEU.com;

the offering, ordering, payment and delivery of products;

the rights and obligations of Customers and the Merchant;

the conditions for withdrawal from a distance contract;

the conditions for returns, complaints and statutory warranty;

the rules regarding personalized and modified products;

restrictions on the use of the website;

the relationship with Shopify and other third parties;

the procedure for communication and dispute resolution.

These Terms and Conditions apply to all orders placed through the website, unless specific terms are provided for a particular campaign, promotion, product or service.

In the event of any conflict between specific terms and these Terms and Conditions, the specific terms shall prevail only for the relevant campaign, promotion, product or service.

Where the Customer is a natural person acting outside the scope of their trade, business, craft or profession, the Customer shall be considered a consumer and shall benefit from all rights granted under applicable consumer protection legislation.

Where the Customer acts as a trader, legal entity or for purposes related to trade, business or professional activity, consumer protection rules shall apply only to the extent provided by law.

3. Users, Registration and Account

The website may be used by natural persons who are at least 18 years old, as well as by legal entities.

When placing an order, you declare that the information provided by you is true, accurate, up to date and complete.

You may be required to provide information such as name, email address, phone number, delivery address, billing address and other data necessary for payment and delivery processing.

You are responsible for the accuracy of the information provided. AllCourt EU shall not be liable for inability to fulfil an order, delay or additional costs where these are due to incomplete, incorrect or inaccurate information provided by the Customer.

If you create a user account, you are responsible for protecting your login details and for all actions carried out through your account.

You may not transfer, sell, assign or allow another person to use your account without our prior consent.

4. Products and Website Information

AllCourt EU makes reasonable efforts to ensure that product information on the website is accurate, up to date and complete.

Product images may differ slightly from the actual appearance of the products due to screen settings, lighting during photography, technical image processing or other technical factors.

The main characteristics of the products are set out on the relevant product page, insofar as such information is available and applicable to the respective product.

Product descriptions, prices, availability and characteristics may be updated. A change in price or description shall not affect an already confirmed order, except in cases of an obvious technical error, in which case the Customer will be informed in a timely manner.

AllCourt EU has the right to limit quantities, discontinue the offering of a particular product or refuse an order where there is a valid reason to do so, including lack of availability, an obvious pricing error, suspected abuse, commercial resale without consent or a technical issue.

Where the website contains statements regarding sustainability, durability, environmental qualities, warranties, compatibility or other specific product characteristics, such statements are based on information provided by the manufacturer, importer, supplier or another relevant source, unless expressly stated otherwise.

5. Product Safety

AllCourt EU offers products that should comply with the applicable product safety requirements of the European Union.

Where applicable, information regarding the manufacturer, importer, responsible person in the EU, product identification, safety warnings, instructions for use or other mandatory information may be provided on the product page, on the packaging, in the accompanying documentation or through another appropriate channel.

The Customer should use the products in accordance with their intended purpose, the manufacturer’s instructions, safety warnings and the usual care applicable to the relevant type of product.

In the event of information concerning a potential risk, product recall, service campaign or other measure related to product safety, AllCourt EU may contact the Customer using the contact details provided by the Customer, where this is necessary and permitted by law.

The Customer should stop using a product if informed that its use may pose a risk and should follow the instructions provided.

6. Errors, Inaccuracies and Omissions

The website may contain technical, typographical or other errors, inaccuracies or omissions, including in relation to product descriptions, images, prices, promotions, availability, delivery times or other information.

AllCourt EU has the right to correct such errors, inaccuracies or omissions and to update information on the website at any time.

Where an error affects an order that has already been placed, AllCourt EU will inform the Customer as soon as possible.

In the event of an obvious technical error in the price, availability or an essential characteristic of a product, AllCourt EU has the right to refuse or cancel the order and, if payment has already been made, to refund the amount received.

7. Orders

By submitting an order through the website, you make an offer to purchase the selected products under the stated conditions.

Before finalising the order, the Customer has the opportunity to review the selected products, quantities, prices, delivery costs, delivery address and selected payment method.

Clicking a button to finalise an order, make payment or any equivalent button in the checkout process means that the Customer is placing an order with an obligation to pay.

The order is considered accepted by AllCourt EU after confirmation is sent by email or through another appropriate communication channel. The confirmation may contain information about the ordered products, price, delivery, payment method and other essential terms.

AllCourt EU has the right to refuse or cancel an order where:

the product is not available;

there is an obvious technical error in the price, description or availability;

the information provided is incomplete, incorrect or does not allow delivery to be completed;

payment is unsuccessful;

there is suspicion of abuse, fraud or an order intended for unauthorised commercial resale;

fulfilment of the order would violate the law, the rights of a third party or the rules of a payment operator, supplier or platform;

there is another valid reason preventing fulfilment of the order.

In the event of refusal or cancellation of an order that has already been paid for, AllCourt EU will refund the payment received using the same payment method, unless the parties expressly agree otherwise.

Purchases are intended for personal or household use, unless AllCourt EU has expressly accepted an order for commercial purposes.

8. Prices, Currency, Promotions and Payment

The main currency for payment in Bulgaria is the euro (EUR).

All prices on the website are stated in euro (EUR), unless expressly stated otherwise. Where applicable legislation requires dual display of prices, prices may also be shown in Bulgarian lev (BGN) at the official fixed exchange rate of 1 EUR = 1.95583 BGN and in accordance with the applicable rounding rules.

For customers outside Bulgaria, the website or applications used by it may display other currencies. The final price, payment currency and applicable costs are shown before the order is finalised.

Prices include VAT, unless expressly stated otherwise.

The delivery cost, where charged separately, is shown before the order is finalised.

The Customer pays the price valid at the time of submitting the order.

AllCourt EU may offer promotions, discounts, discount codes, campaigns and special offers. These are valid under the terms and within the periods specified for them.

Where a price reduction is announced, AllCourt EU indicates the previous price and/or other information about the reduction in accordance with applicable legislation.

If there is any conflict between the terms of a specific promotion and these Terms and Conditions, the terms of the specific promotion shall prevail only for that promotion.

Payment may be made using the payment methods indicated on the website, such as bank card, payment operator, cash on delivery or another available method.

When payment is made through an external payment operator, including services provided by Shopify or integrated into Shopify, the terms of the relevant operator may also apply.

AllCourt EU does not charge fees for the use of a payment method, unless this is expressly stated, permitted by law and does not exceed the costs incurred by the Merchant for the use of that payment method.

9. Delivery

AllCourt EU delivers orders to the addresses and territories indicated on the website as serviced.

Delivery times are indicative, unless it is expressly stated that a specific delivery time is guaranteed.

Where a specific delivery time is indicated for an order, AllCourt EU makes reasonable efforts to deliver within that time.

If no specific delivery time has been agreed, delivery is carried out without undue delay and within the time limits provided by applicable legislation.

Delays may occur due to courier workload, holiday periods, customs processing, incomplete delivery details, technical issues or other circumstances beyond the reasonable control of AllCourt EU.

In the event of a significant delay, the Customer may contact us at hello@allcourteu.com so that the delivery status can be checked.

Where applicable legislation grants the consumer the right to terminate the contract in the event of non-delivery, this right is not limited by these Terms and Conditions.

The risk of loss or damage to the goods passes to the Customer when the Customer or a third party indicated by the Customer, other than the carrier, obtains physical possession of the goods.

If the Customer has chosen a carrier that was not offered by AllCourt EU, the risk may pass to the Customer upon delivery of the goods to that carrier, in accordance with applicable legislation.

Upon delivery, the Customer should inspect the shipment. If there is visible damage to the packaging or the product, we recommend that it be noted with the courier and that you contact us as soon as possible at hello@allcourteu.com.

This notification is not a condition for exercising statutory rights in the event of defect, non-conformity or damage.

For deliveries outside the European Union, where available, customs, import, tax or other fees may be payable and are not included in the price, unless expressly stated otherwise.

10. Individual Services, Stringing and Personalisation

AllCourt EU may offer additional services or individual settings for certain products, including but not limited to:

tennis racket stringing;

selection of string;

selection of stringing tension;

installation of grip, overgrip or another accessory;

other personalisation, modification, adjustment or additional processing at the Customer’s request.

Where the Customer selects such a service or individual setting, the Customer declares that they wish the product to be processed or personalised according to their individual choice.

Where the performance of a personalisation service begins before the expiry of the withdrawal period, AllCourt EU may request the Customer’s express confirmation that they wish performance to begin immediately and that they have been informed of the consequences regarding the right of withdrawal.

A product that has been personalised, modified, strung, adjusted or additionally processed at the Customer’s express request may not be returnable on the basis of the right of withdrawal where the law permits such an exception.

This restriction does not affect the Customer’s statutory rights in the event of defect, non-conformity or incorrect fulfilment of the order.

11. Right of Withdrawal from a Distance Contract

Where the Customer is a consumer within the meaning of applicable legislation, the Customer has the right to withdraw from a distance contract within 14 days without giving any reason, unless a statutory exception applies.

The withdrawal period begins on the day on which the Customer or a third party indicated by the Customer, other than the carrier, receives the product.

Where an order is delivered in parts or contains several products delivered separately, the withdrawal period begins on the day on which the Customer or a third party indicated by the Customer, other than the carrier, receives the last product or the last part.

To exercise your right of withdrawal, you must inform us by a clear statement of your decision to withdraw from the contract. You may do this by email to hello@allcourteu.com.

You are not required to use this form. It is sufficient to send a clear and unambiguous statement that you wish to withdraw from the contract.

To meet the withdrawal deadline, it is sufficient to send the notice exercising the right of withdrawal before the 14-day period expires.

12. Returning Products After Withdrawal

After exercising your right of withdrawal, you must return the product without undue delay and no later than 14 days from the date on which you informed us of your withdrawal.

The Customer bears the direct cost of returning the goods, unless AllCourt EU has expressly stated otherwise.

The Customer is responsible for any diminished value of the product caused by handling or use other than what is necessary to establish the nature, characteristics and proper functioning of the product.

The product should be returned in a condition suitable for resale, where applicable, together with the original labels, accessories and packaging, insofar as possible.

The absence of the original packaging alone does not automatically result in refusal to accept the return, but it may be taken into account if it has led to a decrease in the value of the product.

Returns are not accepted for products that have been personalised, modified, strung, adjusted or additionally processed at the Customer’s express request, as well as products that, at the Customer’s request, are no longer in their original commercial condition.

This includes, but is not limited to, tennis rackets strung at the Customer’s request, as well as tennis rackets where, at the Customer’s request, the original handle packaging has been removed and a new grip, overgrip or other accessory has been installed.

This restriction does not apply in cases of defect, non-conformity or incorrect fulfilment of the order.

13. Refunds After Withdrawal

In the event of a validly exercised right of withdrawal, AllCourt EU will refund all payments received from the Customer, including the standard cost of initial delivery, where such delivery cost was paid.

If the Customer selected a delivery method other than the least expensive standard delivery method offered by AllCourt EU, we are not required to refund the additional costs for that more expensive delivery method.

The refund will be made without undue delay and no later than 14 days from the date on which we were informed of the decision to withdraw.

We have the right to withhold the refund until we have received the goods back or until the Customer provides proof that the goods have been sent back, whichever occurs first.

The refund will be made using the same payment method used for the initial transaction, unless the parties expressly agree otherwise.

The Customer does not owe any fees for the refund, unless such fees arise from a method chosen by the Customer and are permitted under applicable legislation.

14. Exceptions to the Right of Withdrawal

The right of withdrawal may not apply in the cases provided by law, including but not limited to where the product is:

made to an individual order or according to the Customer’s personal requirements;

personalised, modified, reworked or additionally processed at the Customer’s express request;

a tennis racket that has been strung or modified at the Customer’s request;

a tennis racket where the original handle packaging has been removed and a new grip, overgrip or other accessory has been installed at the Customer’s request;

a product that, after such personalisation, modification or additional processing, is no longer in its original commercial condition;

a sealed product that has been unsealed after delivery and cannot be returned for hygiene or health protection reasons, where applicable;

another product or service for which the law permits an exception to the right of withdrawal.

For example, if the Customer has requested that a tennis racket be strung with a string selected by the Customer, at a stringing tension selected by the Customer, or with another individual setting, the product is considered personalised according to the Customer’s individual requirements and is not returnable on the basis of the right of withdrawal, unless the product is defective or does not correspond to the order.

The same applies where, at the Customer’s request, the original packaging has been removed from the handle of a tennis racket and a new grip, overgrip or other accessory has been installed, as a result of which the product is no longer in its original commercial condition.

Where an exception to the right of withdrawal applies to a specific product or service, AllCourt EU will seek to indicate this clearly on the product page, when selecting the additional service or before the order is finalised.

This restriction does not affect the Customer’s statutory rights in the event of defect, non-conformity or incorrect fulfilment of the order.

15. Exchanges

AllCourt EU may offer product exchanges as part of its commercial policy, where this is expressly stated on the website or agreed with the Customer.

An exchange does not limit the consumer’s right of withdrawal, right to make a complaint or statutory warranty rights.

Exchange conditions may depend on availability, product condition, time limits, product type and other circumstances.

Personalised, modified, strung, adjusted or additionally processed products at the Customer’s request may not be eligible for exchange, except in cases of defect, non-conformity or incorrect fulfilment of the order.

16. Complaints and Statutory Warranty

Consumers have statutory rights in the event of non-conformity or defect of purchased goods.

All consumer goods are covered by a statutory warranty in accordance with applicable legislation. This warranty does not depend on the existence of a commercial warranty or warranty card.

AllCourt EU is responsible for any non-conformity of consumer goods that exists at the time of delivery and appears within the time limits provided by applicable legislation.

In the event of non-conformity or defect, the Customer has the right to submit a complaint to AllCourt EU.

A complaint may be submitted by email to hello@allcourteu.com or by written notice to the Merchant’s address.

When submitting a complaint, please provide:

order number;

name and contact details;

description of the issue;

photos or other evidence, where applicable;

preferred method of contact.

AllCourt EU registers and reviews complaints in accordance with applicable legislation.

Where a complaint is justified, the Customer may have the right to have the goods brought into conformity, including repair or replacement, a price reduction, or termination of the contract and refund of the amount paid, where the legal conditions for this are met.

Commercial warranties, if provided by the manufacturer or AllCourt EU, do not limit the Customer’s statutory rights.

Where a commercial warranty is provided for a product, its terms are specified in a warranty card, product page, manufacturer documentation or another appropriate medium.

Where applicable legislation requires the provision or display of a standard notice regarding the statutory warranty, AllCourt EU will provide or display such notice in an appropriate manner.

Where the manufacturer offers a voluntary commercial warranty of durability and applicable legislation requires the use of a standard label or information, AllCourt EU will seek to display the relevant information insofar as it has been provided by the manufacturer and is applicable to the product.

17. Use of Products and Customer Responsibility

The Customer should use purchased products in accordance with their intended purpose, the manufacturer’s instructions and the usual care applicable to the relevant type of product.

AllCourt EU shall not be liable for damage caused by improper use, negligent storage, mechanical damage, attempts at self-repair, use contrary to instructions, normal wear and tear or sports use outside the usual purpose of the product, to the extent permitted by law.

Normal wear and tear, changes in appearance resulting from use, damage caused by impact, improper storage, improper maintenance or inappropriate use do not automatically constitute non-conformity of the product.

Nothing in these Terms and Conditions limits consumers’ statutory rights.

18. Reviews, Comments and Feedback

When you send reviews, comments, suggestions, photos or other content to AllCourt EU, you declare that you have the right to provide such content and that it does not infringe the rights of third parties.

By sending such content, you grant AllCourt EU a non-exclusive, royalty-free right to use it for the purposes of operating, improving and promoting the website, products and services, including by publishing it on the website, social media or marketing materials, to the extent permitted by law.

AllCourt EU has the right not to publish or to remove content that is unlawful, offensive, misleading, infringes the rights of third parties or is inconsistent with these Terms and Conditions.

Where AllCourt EU publishes customer reviews of products, it will seek to provide information on whether and how it verifies that published reviews come from customers who have actually purchased or used the relevant product.

Submitting fake, misleading, undisclosed paid or manipulated reviews is not allowed.

19. Intellectual Property

All elements of the website, including texts, images, graphics, logos, design, structure, product descriptions, photos, videos, trademarks and other content, are the property of AllCourt EU, Shopify, the relevant suppliers, manufacturers or licensors, unless expressly stated otherwise.

Website content may be used only for personal and non-commercial purposes related to browsing and purchasing products.

Copying, reproducing, publishing, distributing, modifying, extracting data, using for commercial purposes or otherwise using the content without prior written consent from AllCourt EU or the relevant rights holder is not permitted.

The Shopify name, Shopify logo and related Shopify trademarks are the property of Shopify or the relevant companies within the Shopify group.

20. Prohibited Actions and Automated Access

When using the website, you may not:

violate applicable legislation;

provide false, misleading or third-party information;

use the website for fraudulent, malicious or unlawful purposes;

infringe intellectual property rights or other rights of AllCourt EU, Shopify or third parties;

send viruses, malicious code, spam or other harmful material;

use automated means of access, scraping, data extraction, bots, crawlers, spiders, AI agents or other automated tools to access, copy, analyse, overload or extract content from the website without our prior written consent;

bypass technical protection measures, security measures, CAPTCHA, access restrictions, robots.txt, headers excluding automated access or other similar mechanisms;

impersonate another person, organisation, human or system;

carry out actions that may harm the operation, security or reputation of the website, AllCourt EU, Shopify or other users.

Automated access to the website, including through software agents, AI tools or other systems, is permitted only if it is lawful, does not violate these Terms and Conditions, does not overload or damage the website and does not bypass technical or organisational protection measures.

In the event of a violation, AllCourt EU has the right to restrict access to the website, refuse an order, terminate an account or take other actions permitted by law.

21. External Services, Tools and Third-Party Links

The website may contain links to third-party websites, services, tools or content, including Shopify, payment operators, courier services, applications, analytics tools, social networks, marketing service providers or other partners.

Some website functionalities may be provided through third-party tools or services. Such services are provided in accordance with the terms and policies of the respective providers.

AllCourt EU does not control and is not responsible for the content, technical operation, policies, terms, actions or omissions of third parties, except where such responsibility is provided by applicable legislation.

When using third-party services, their own terms and conditions, privacy policies, payment rules, delivery rules, security rules or personal data processing rules may apply.

Complaints, questions or claims related to third-party products, services or content should be directed to the relevant third party, except where the matter concerns an order placed directly with AllCourt EU through the website.

22. Shopify

The website AllCourtEU.com is supported through the Shopify platform, which provides technical infrastructure and functionalities for operating the online store, including hosting, checkout, order processing, security, integrations, payments, analytics tools and other related services.

Although the website uses Shopify, the contract for the purchase of products through the website is concluded directly between the Customer and “Gems and Goods” Ltd, unless expressly stated otherwise.

Shopify is not a party to the sales contract between the Customer and AllCourt EU and is not responsible for the commercial terms of the sale, availability, delivery, returns, complaints or conformity of the products, to the extent such responsibility does not arise from applicable legislation or separate relations between the Customer and Shopify.

When using certain Shopify functionalities, such as Shop Pay, Shopify Payments, checkout tools, applications or other integrated services, the terms and policies of Shopify or the respective providers may also apply.

Shopify may process certain information in connection with access to and use of the website, order processing, payments, security, fraud prevention, analytics, service improvement and other technical or functional purposes.

23. Personal Data

AllCourt EU processes personal data in accordance with applicable legislation and its Privacy Policy.

By using the website and placing an order, you confirm that you have read the Privacy Policy.

Because the website is supported through Shopify, certain personal information may also be processed by Shopify or by Shopify-related providers and subcontractors for the purposes of technical provision of the website, order processing, payments, security, fraud prevention, analytics and service improvement.

Information that you provide when using the website may be transferred to Shopify, payment operators, courier services and other providers where this is necessary for fulfilling the order, providing the services, complying with legal obligations or protecting the legitimate interests of AllCourt EU.

24. Cookies and Similar Technologies

The website uses cookies and similar technologies for website operation, order processing, preference storage, analytics, improving the user experience, security and, where applicable, marketing.

To the extent permitted by applicable law, AllCourt EU shall not be liable for damages arising from:

temporary unavailability of the website;

technical issues beyond our reasonable control;

actions or omissions of third parties;

improper use of products;

provision of incorrect or incomplete information by the Customer;

force majeure;

incompatibility of the Customer’s device, browser, software or internet connection with the website functionalities.

Nothing in these Terms and Conditions excludes or limits liability that cannot be excluded or limited under applicable legislation, including consumers’ statutory rights.

26. Force Majeure

AllCourt EU shall not be liable for non-performance or delayed performance caused by circumstances beyond our reasonable control, including natural disasters, war, strikes, epidemics, interruptions in transport or communication services, actions of public authorities, technical failures, issues with suppliers, couriers or payment operators.

This section does not limit consumers’ mandatory rights where such rights are provided by applicable legislation.

27. Termination or Restriction of Access

AllCourt EU may temporarily or permanently restrict access to the website or a user account where there is a valid reason, including violation of these Terms and Conditions, abuse, attempted fraud, technical attack or other behaviour that threatens the website, the Merchant, Shopify, suppliers or other users.

Restriction of access does not affect rights and obligations that have already arisen, including obligations related to payment, delivery, refunds, complaints or statutory consumer rights.

28. Changes to the Terms and Conditions

AllCourt EU has the right to amend and update these Terms and Conditions.

The current version is available on the website.

In the event of substantial changes, where required by law, we will take reasonable steps to notify users.

Changes do not affect already confirmed orders, unless this is required by law or the change is in favour of the Customer.

Continued use of the website after changes have been published means that the updated version of the Terms and Conditions applies to future use of the website and future orders.

29. Applicable Law

These Terms and Conditions are governed by the laws of the Republic of Bulgaria and applicable European Union law.

Where the Customer is a consumer with habitual residence in another Member State of the European Union, the choice of Bulgarian law does not deprive the Customer of the protection afforded by the mandatory provisions of the law of the country of their habitual residence, where such provisions are applicable.

Where the Customer is a consumer, the Customer benefits from all mandatory rights and protections granted under applicable consumer protection legislation.

30. Disputes and Competent Authorities

We will make reasonable efforts to respond and assist in resolving the matter.

Disputes that cannot be resolved voluntarily shall be referred to the competent court or competent authority in accordance with applicable legislation.

31. Severability

If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, this shall not affect the validity of the remaining provisions.
